Southern Home Services is an operator of home service businesses.

Many commercial tenants went to court for a pandemic rent break. A Murray Hill law firm can now count itself among the few to have won one.

New York’s Appellate Division ruled that affiliates of landlord ABS Partners Real Estate must credit Wolf Haldenstein, a firm specializing in stocks and antitrust law, over $2 million in rent and legal fees after the office owner failed to complete renovations on the firm’s two floors of leased space.

The HVAC system roared like a “jet engine,” the landlord’s architect said, produced 90-degree temperatures in the summer and failed to circulate fresh air as Covid raged in New York.

The law firm, which has occupied 270 Madison Ave for nearly 100 years, agreed to move temporarily from the ninth and 10th floors to the 11th and 13th when it signed a 12-year lease in 2018.

ABS planned to revamp the heating and air conditioning systems on the two lower floors and agreed in the lease that its tenant would rent the upper floors until an architect deemed the work substantially complete.

The lease included four months of free rent once the firm moved back to the lower floors and a rent credit if renovations took too long. Wolf Haldenstein would receive a daily credit for each day that work continued after February 2020. The rate would jump to a day and a half after April.

Wolf Haldenstein moved back to the ninth and 10th floors in December 2019, ahead of schedule. But the firm immediately questioned whether work had been completed.

“We should have another construction meeting to discuss HVAC problems,” Mark Rifkin, managing partner at Wolf Haldenstein wrote in an email to the job’s contractor on Christmas Eve.

“I think some may have assumed substantial completion before it was done,” he continued. “Had this been summertime, when we need the AC, the space would be uninhabitable.”

In another email to ABS Partners, Rifkin described the floors as excessively hot and the HVAC system as excessively loud.

Those problems continued into 2020. In February, as Covid began spreading in the city, ABS’ construction manager acknowledged in an email that “many ‘existing condition’ items … need to be figured out and resolved.”

James Caseley, an executive at ABS, went so far as to describe the HVAC system as a “disaster” to the landlord’s construction manager in a memo.

The same month, the landlord started work on the 11th and 13th floors, making it impossible for Wolf Haldenstein to relocate to a more hospitable floor.

The HVAC issues lasted through the pandemic, forcing partners, associates, staff and clients, once they returned to the office, to deal with a system that failed to adequately circulate fresh air, according to Scott Mollen of Herrick Feinstein, attorney for the tenant.

In April 2021, Wolf Haldenstein sued ABS Partners, alleging that the landlord’s architect had not declared the work complete, meaning the firm had no obligation to pay rent.

ABS answered a month later, arguing that the law firm had defaulted on rent and owed $1.2 million on its roughly $145,000-per-month lease.

That November, a Supreme Court judge sided with Wolf Haldesstein, ruling the work was incomplete and the firm had no need to pay rent. The Appellate Division upheld the ruling that the landlord should pay a $1.2 million rent credit, $100,000 in moving expenses and $700 .00 in attorney’s fees.

“Much of the unnecessary fees were incurred as a result of landlords’ litigation tactics,” the court noted.

Rosenberg & Estis attorney Alex Estis, who represented ABS, said his legal team appreciated the Appellate Division reduced Wolf Aldenstein’s rent credit award. A lower court had granted the firm an additional $647,869, plus interest.

“We are considering further options in light of the ruling,” Estis added.

The firm’s late co-founder Warren Estis had represented ABS for most of the suit, one of his last. Estis died in April.

Womble Bond Dickinson is combining with Cooper, White & Cooper, enabling the UK-headquartered firm to open a new office in San Francisco, its fourth in California.

The tie-up, effective Sept. 1, creates an office of more than two dozen employees, including 17 lawyers who will move from Cooper, White & Cooper, Womble said in a Wednesday statement.

Womble already has California offices in Irvine, Los Angeles and Silicon Valley and opened offices in New York and Nashville earlier this year. Overall, the firm has more than 1,000 lawyers in 29 UK and US offices.

“California is home to some of the world’s key business and technology hubs, with San Francisco chief among them,” Betty Temple, chief executive officer of Womble Bond Dickinson in the US, said in a statement. “The state—indeed the entire West Coast—is strategically important to Womble.”

San Francisco-based middle-market private equity firm Gryphon Investors announced Monday it has acquired Ed’s Supply Company Inc.

Financial terms of the deal for the Nashville-based wholesale distributor of heating, ventilation, air conditioning, and refrigeration (HVAC/R) equipment, parts and supplies company were not disclosed in a release.

Founded in 1957 and with its main office located in downtown’s Pie Town district, Ed’s Supply operates 19 locations in Arkansas, Georgia, Kentucky and Tennessee.

Gryphon plans to operate the HVAC/R company as an independent division of its Heritage Distribution Holdings platform, which recently rebranded from Wittichen Supply Holding Company.

Steve Byram, former president of Ed’s Supply, will become an adviser to the Heritage Distribution Holdings management team. His son Tucker Byram, most recently vice president of operations, will serve as president. In addition, the current management team will remain with the company.

Ed’s Supply seems to retain its name. Of note, the company also owns the property (located at 711 Sixth Ave. S.) from which the business operates. It is unclear if Ed’s Supply might now attempt to sell that property, as company officials could not be reached for comment.

A San Francisco-based company specializing in financial technology formally opened its Omaha office on Wednesday. It will eventually welcome more than 100 employees.

Unison will operate out of the Landmark building at 13th and Farnam streets.

Unison lets homeowners pull equity out of their homes without incurring debt or making any payments, said President Ryan Downs.

The company extends a cash payment to homeowners in exchange for sharing in the home’s value, whether it increases or decreases. No payments are made until the homeowner sells the home or until 30 years passes.

At that time, the homeowner will pay Unison an amount equal to the cash payment received, plus or minus a percentage of the home’s change in value.

The company is headquartered in San Francisco, although some employees work remotely across the country, Downs said. Unison currently employs about 120 people.

Omaha will be the company’s second US office.

Officials settled on Omaha after analyzing several metropolitan areas across the country. Omaha stood out because of the reasonable cost of living, highly qualified workforce and business-friendly environment, Downs said.

The biggest factor: the people.

“Everything we do is virtual and a financial instrument,” Downs said. “We don’t have factories. We don’t build tangible things. The value of our business comes from the people, and that’s where Omaha really stood out.”

Downs said the company started its expansion about five months ago and decided on Omaha early this year.

People aren’t surprised to see growth in the financial services sector in Omaha, said David Brown, president and CEO of the Greater Omaha Chamber. But they may be surprised to see a San Francisco-based company put down roots here.

“This cements in people’s minds that we are a center for financial services,” he said.

The city offers a pool of people who would be a good fit for Unison, Brown said, citing business schools at the University of Nebraska at Omaha and Creighton University.

The company’s move to downtown Omaha fits in with other development happenings in the area, including the riverfront park revitalization, Mutual of Omaha’s relocation plans and the proposed streetcar line.

“Those are all significant investments that will make that a vibrant, vibrant neighborhood,” Brown said. “That’s exactly what I think the investors were looking for.”

History: In 1946, Robert B. Daugherty spent nearly his life’s savings — $5,000 — to buy a small manufacturing company on a farm near Valley to build farm elevators. Years later, with the invention of center-pivot irrigation, Valmont found its niche. It then expanded into steel pipe and tubing manufacturing for irrigation systems and other industries. Through acquisitions and new construction, the company grew to be a global player in certain segments of the agriculture, communications and utilities markets. Today, Valmont’s worldwide operations are constantly looking for opportunities to expand its four business sectors: engineered support structures (steel and aluminum poles for traffic lights, street lighting, etc.); utility support structures (poles for electrical transmission lines, etc.); irrigation; and coatings (galvanization).

A San Francisco-based company specializing in financial technology formally opened its Omaha office on Wednesday. It will eventually welcome more than 100 employees.

Unison will operate out of the Landmark building at 13th and Farnam Streets.

Unison lets homeowners pull equity out of their homes without incurring debt or making any payments, said President Ryan Downs.

The company extends a cash payment to homeowners in exchange for sharing in the home’s value, whether it increases or decreases. No payments are made until the homeowner sells the home or until 30 years passes.

At that time, the homeowner will pay Unison an amount equal to the cash payment received, plus or minus a percentage of the home’s change in value.

The company is headquartered in San Francisco, although some employees work remotely across the country, Downs said. Unison currently employs about 120 people.

Omaha will be the company’s second US office.

“Both offices will be pretty sizable,” Downs said.

Officials settled on Omaha after analyzing several metropolitan areas across the country. Omaha stood out because of the reasonable cost of living, highly qualified workforce and business-friendly environment, Downs said.

The biggest factor: the people.

“Everything we do is virtual and a financial instrument,” Downs said. “We don’t have factories. We don’t build tangible things. The value of our business comes from the people, and that’s where Omaha really stood out.”

Downs said the company started its expansion about five months ago and decided on Omaha early this year.

People aren’t surprised to see growth in the financial services sector in Omaha, said David Brown, president and CEO of the Greater Omaha Chamber. But they may be surprised to see a San Francisco-based company put down roots here.

“This cements in people’s minds that we are a center for financial services,” he said.

The city offers a pool of people who would be a good fit for Unison, Brown said, citing business schools at the University of Nebraska at Omaha and Creighton University.

The company’s move to downtown Omaha fits in with other development happenings in the area, including the riverfront park revitalization, Mutual of Omaha’s relocation plans and the proposed streetcar line.

“Those are all significant investments that will make that a vibrant, vibrant neighborhood,” Brown said. “That’s exactly what I think the investors were looking for.”
